3.1

ProcurInt treats customer business information as confidential and will take reasonable measures to prevent unauthorized access, disclosure or use.

3.2

ProcurInt will not intentionally disclose one customer’s confidential information, supplier information, pricing, operational data, credentials or commercially sensitive information to another customer, plant owner, project owner, supplier or competitor.

3.3

Customer usernames, passwords, authentication information, API keys and similar credentials are confidential. ProcurInt will not intentionally share such credentials with another customer, plant, owner, supplier, competitor or unrelated third party.

3.5

Customers must ensure that their employees, contractors, suppliers and other authorized users comply with applicable confidentiality, security and contractual requirements.

4. Data Ownership, Intellectual Property & Unauthorized Use

4.1

Customer Data provided by the customer remains the customer’s business information. Use of the ProcurInt platform does not automatically transfer ownership of Customer Data to ProcurInt.

4.2

The customer grants ProcurInt the limited rights necessary to host, process, transmit, display and use Customer Data for providing the Services, maintaining security, providing support and performing other activities permitted under the applicable agreement.

4.3

The ProcurInt platform and its underlying intellectual property remain the property of ProcurInt or its licensors, including software, source code, architecture, algorithms, workflows, UI/UX designs, databases, templates, documentation, trademarks, logos and proprietary methodologies.

5. Personal Data, Security & Third-Party Services

5.1

Where ProcurInt processes personal data through the Services, such processing will be carried out in accordance with applicable data-protection laws and regulations.

5.2

Personal data may be processed for providing Services, account administration, authentication, security, customer support, billing, communications, fraud prevention, legal compliance and other disclosed and permitted purposes.

5.3

ProcurInt will implement reasonable technical and organizational measures appropriate to the nature of information processed. These may include authentication controls, role-based access, access restrictions, encryption where appropriate, logging, monitoring, backups, infrastructure security and incident-response procedures.

5.4

No internet-based system can be guaranteed to be completely secure. Customers are also responsible for the security of their own devices, networks, users, passwords and integrations.

5.5

ProcurInt may use third-party services such as cloud infrastructure, payment providers, accounting systems, messaging platforms, email services, mapping services, AI providers, analytics services and authentication providers.

5.6

Information may be shared with such providers only to the extent reasonably necessary to provide the relevant functionality and subject to applicable contractual, security and legal requirements.

6. Data Retention, Deletion & Anonymization

6.1

ProcurInt may retain Customer Data after termination or expiry of a customer’s subscription where reasonably necessary for legal or regulatory compliance, accounting and tax requirements, security, backups, disaster recovery, dispute resolution, enforcement of contractual rights, audit purposes, legitimate business records or other lawful purposes.

6.2

Termination of an account does not automatically require immediate deletion of every copy of information from ProcurInt’s systems.

6.3

Information contained in backups may remain until the applicable backup-retention cycle is completed.

6.4

Where a customer requires a specific deletion or data-export arrangement, the applicable requirements may be agreed in the relevant Service Agreement or Order Form.

6.5

ProcurInt may create aggregated, statistical or anonymized information from information generated through the Services, provided such information is processed so that it is not intended to identify a particular customer or individual where represented as anonymized.

6.6

Aggregated or anonymized information may be used for analytics, product development, service improvement, operational benchmarking, system performance analysis and business planning.

7. AI, Integrations & Automated Features

7.1

Where ProcurInt AI or other automated features are enabled, information submitted to those features may be processed to generate responses, summaries, recommendations, alerts, reports or operational insights.

7.2

AI-generated information may contain inaccuracies and should be independently verified before being used for material business, financial, operational, safety or compliance decisions.

7.3

Unless expressly agreed otherwise in writing, ProcurInt will not intentionally use identifiable customer confidential information to publicly train or publish a general-purpose AI model.

7.4

Where third-party AI services are used, processing may also be subject to the relevant provider’s contractual and privacy terms.

7.5

Depending on infrastructure and third-party services, information may be processed or stored in India or other jurisdictions. Where cross-border processing occurs, ProcurInt will take steps required by applicable law and relevant contractual obligations.

8. Security Incidents, Legal Disclosure & Account Protection

8.1

If ProcurInt becomes aware of a security incident affecting Customer Data that requires notification under applicable law or contractual obligations, ProcurInt will take appropriate steps to investigate, contain and address the incident.

8.2

Notifications will be provided where required by applicable law or the relevant customer agreement.

8.3

ProcurInt may disclose information where reasonably necessary to comply with applicable law, valid court or government requests, protect ProcurInt’s rights or property, protect customers or third parties, investigate fraud or security incidents, or enforce applicable agreements.

8.4

Where legally permitted, ProcurInt may notify the affected customer before making such disclosure.

9. Ownership Changes, Suspension & Termination

9.1

If there is a change in ownership, control, management, merger, acquisition, sale or restructuring affecting the customer organization or entity using a ProcurInt account, the customer must notify ProcurInt in writing as soon as reasonably practicable.

9.2

ProcurInt may request documentation to verify the authority of the new owner or authorized representative.

9.3

ProcurInt may suspend or restrict access where reasonably necessary to protect platform security, prevent unauthorized access, prevent abuse or unlawful activity, address a material contractual breach, comply with applicable law or protect ProcurInt, customers or third parties.

9.4

Where reasonably practicable, ProcurInt may provide notice before suspension, except where immediate action is required.

9.5

Confidentiality, intellectual-property, payment, liability, dispute-resolution and other provisions intended to survive termination will continue to apply after termination.

10. Policy Updates & Legal Terms

10.1

ProcurInt may update this Policy to reflect changes in its Services, technology, security practices, applicable laws, regulations or business operations.

10.2

The latest version will be published on the ProcurInt website with the applicable Last Updated date.

10.3

Nothing in this Policy is intended to exclude, restrict or waive any right or obligation that cannot legally be excluded or waived under applicable law.

10.4

Where this Policy conflicts with a separately executed written agreement between ProcurInt and a customer, the applicable agreement will govern to the extent of the conflict.
